General terms of sales

The present general terms of sale are accepted by the company SYNE with a registered capital of 6,000 euros, the head office of which is based in PARIS (FRANCE) , registered in the Trade & Company Register of Paris under the number B 891 643 710 hereafter referred to as “SYNE” and by any natural or artificial person wishing to make a purchase via the “SYNE” website, hereafter referred to as the “purchaser”.

Purpose

The present general terms of sale define the contractual relationship between SYNE and the purchaser, and the conditions applicable to any purchase made via the SYNE sales website, whether the purchaser is a trade client or a consumer. The acquisition of a product or service via the present website implies unreserved acceptance of these general terms of sale by the purchaser.

These terms of sale take precedence over any other general or special terms which have not expressly been approved by SYNE. SYNE reserves the right to modify its terms of sale at any time. In this case, the applicable terms will be those in force on the date the order is placed by the purchaser.

The characteristics of the products proposed for sale

The products proposed for sale are those presented on the SYNE website. These products are proposed subject to available stocks.

The photographs featured on the website are as faithful as possible but cannot be considered as guaranteeing a perfect representation of the product on sale, including with regard to colours.

Prices

The prices shown on the website are in euros, inclusive of VAT. They take account of the VAT rate applicable on the order date. Any change in the VAT rate may result in a modification to the prices of the products or services. SYNE reserves the right to modify its prices at any time, with it however being understood that the price shown in the catalogue on the order date will be the only price applicable to the purchaser. The prices shown include order processing, transportation and delivery costs on condition that delivery is to one of the geographical zones detailed hereafter.

Orders

A purchaser wishing to purchase a product must obligatorily:

  • Complete the information form, supplying all of the requested details;
  • Confirm his order after having checked it;
  • Proceed with payment in accordance with the stipulated conditions;
  • Confirm his order and his payment. The confirmation of the order will automatically constitute acceptance of the present general terms of sale, including acknowledgement that the purchaser has fully familiarised himself with them and a renunciation of his right to avail himself of his own general purchasing terms or other conditions. All of the data supplied and the recorded confirmation constitute proof of the transaction. The confirmation is considered equivalent to the signature and acceptance of the operations performed. The vendor will send a confirmation of the booked order by e-mail.

Retraction

When the purchaser is a natural person and a non-trade client, he will have a 15-day retraction period following the delivery date of his order to return the product to the vendor and to obtain an exchange or refund without penalty. Products returned or exchanged must be new and in their original packaging.

The return costs and the reshipment costs will be borne by SYNE for Europe area. The return costs and the reshipment costs will be borne by the client for non-Europe area.

Commercial operation

It is specified that during a period of temporary commercial operation (promotions, sales, etc.) SYNE may apply special conditions. The latter may then change the delivery times (due to the large number of orders, delivery times may vary from 2 to 5 working days) or the return method, which may exceptionally be at the customer’s expense. If these special conditions are changed during the said commercial transactions, they are then specifically posted on the website near the “add to cart” button. The latter are authentic at the time of purchase.

Payment terms

The full asking price is payable at the time the order is placed.

Payments must be made by:

  • Bank transfer (our bank details necessary for the cash transfer will be provided to you at the time your order is confirmed)
  • A cheque made out to SYNE at the address: SYNE – 16 bis rue Saint-Antoine – 75004 PARIS – FRANCE (enclosing a copy of the order confirmation).
  • STRIPE – the precise list of accepted credit cards is notified to the customer during the payment process.

The purchaser’s account will only be debited for the cost of the ordered products at the time the client confirmed his order. At the purchaser’s request, we can send him a paper invoice detailing the VAT paid.

Deliveries/ Packaging

Delivery will be made to the address shown on the order form which may only be located within the agreed geographical area. All risks will be borne by the purchaser from the moment the products leave SYNE’s premises.

In the event of any losses or damage during transportation, objections accompanied by full explanations must be submitted to the haulier within a period of three days following delivery. Delivery dates and lead times are provided for information purposes only: if these exceed 30 days as from the date of the order, the contract of sale may be cancelled and the purchaser reimbursed.

The products are shipped in a cardboard packaging or a compostable bag.

Warranty

All products supplied by the vendor are covered by the legal warranty provided for in articles 1641 and following of the French Civil Code. In the event that a product sold is found to be non-compliant, this may be returned to the vendor who will issue an exchange or refund. All claims and all requests for exchanges or refunds must be submitted by post to the following address: SYNE – 16 bis rue Saint-Antoine – 75004 PARIS within a period of 30 days following the delivery date.

Liability

During the online sales process, the vendor is bound only by an obligation of due care. He may not be considered liable for any losses resulting from the use of the Internet network such as a loss of data, intrusions, viruses, service outages or other involuntary problems.

Intellectual property rights

All features and components of the SYNE website are (and will remain) the exclusive intellectual property of SYNE.

No one is authorised to reproduce, exploit, broadcast, recirculate or use in any way whatsoever (even partially) the components of the website whether these are in software, visual or audio form. Any simple or hypertext link is strictly forbidden without the express written agreement of SYNE.

Personal data property rights

In compliance with the French Data Protection Act of January 6, 1978, information of a personal nature concerning the purchasers may be the subject of automated processing. SYNE reserves the right to collect information concerning the purchasers including through the use of cookies and, if it so wishes, to forward the said information to business partners.

Purchasers may oppose the divulgence of their contact details by informing SYNE of this. Similarly, users have a right to access and rectify any data concerning them in compliance with the law of January 6, 1978.

Archiving / Proof

SYNE will archive the order forms and invoices on a reliable and durable medium constituting a true copy in compliance with the terms of article 1348 of the French Civil Code. SYNE’s computer logs will be considered by the parties as constituting proof of communications, orders, payments and transactions between the parties.

Dispute resolution

The present online terms of sale are subject to French law. In the event of litigation, legal competence is attributed to the competent courts of Paris notwithstanding multiple defendants or the introduction of third parties.
